As you may have seen in the newsletters we sent regarding the Corporate Transparency Act (you can click the following links for a refresher: 1, 2, 3), there is a relatively new federal law that requires business owners to submit a Business Ownership Interest (“BOI”) Report to the U.S. Treasury Financial Crimes Enforcement Network. The Oklahoma Secretary of State may also have sent you a notice about this requirement.

For entities (such as limited liability companies or corporations, etc.) that were created before January 1, 2024, the BOI report must be submitted by December 31, 2024. If you own multiple entities, you will need to submit a BOI Report for all of the entities, unless it fits in an exception to the reporting requirement.

For any entities created this year, the BOI report must be submitted within 90 days of creating the entity.

Attached is a form showing the information you   must include in a BOI report. The forms may be completed online at https://boiefiling.fincen.gov/. Please note, the BOI report must be completed and submitted by someone authorized by the entity, such as an owner of the entity.
